2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your business purposes.

4.2 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use automated systems to access the Services without permission
• Misrepresent your identity or affiliation
• Engage in fraudulent activities
• Collect user information without consent
• Use the Services for competitive purposes

5. ISV Profiles and Verification

Our AI-powered system creates ISV profiles based on publicly available information. While we strive for accuracy, we do not guarantee the completeness or accuracy of all profile information.

ISVs are responsible for reviewing and updating their profiles. Clients should conduct their own due diligence when selecting vendors.

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and AI algorithms, are owned by Revixa and protected by intellectual property laws.

6.2 User Content

You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our Services.

7. Payment Terms

Certain features of our Services may require payment. You agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Pay all taxes associated with your use of the Services
• Accept that fees are non-refundable except as required by law

We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee the accuracy or reliability of any information obtained through the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIXA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Revixa and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, violation of these Terms, or infringement of any rights of another party.

12. Termination

We may terminate or suspend your access to the Services at any time, with or without cause or notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.

13.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

These Terms constitute the entire agreement between you and Revixa regarding the Services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
